W&G represents clients in every facet of the real estate industry including, builders, lenders, developers and brokers. W&G has counseled clients on disputes concerning land use litigation, zoning and construction issues, redevelopment, condemnation actions and foreclosures.
At W&G, we serve clients on a wide range of matters including site plans, variances, subdivisions, developer agreements, rezoning applications, master plan changes and related litigation. The attorneys are involved in a variety of residential, commercial and industrial projects, including, hotels, shopping centers, big box retail, restaurants, office complexes, medical facilities, religious facilities, banks, and single-family and multi-family residential projects. W&G, on behalf of its clients, which include developers, landowners, builders and lenders, navigates through pertinent regulations, requirements and policies governing the approvals and permitting process at the state, county and municipal levels, to achieve the goals of its clients. We represent clients in all stages, including: negotiations of purchase and sale agreements for residential, commercial, industrial and mixed uses, land and building acquisitions and sales, applications to the Committee on Affordable Housing (COAH), financing, land title and land ownership issues, development, redevelopment and leasing.
W&G prepares reviews and negotiates leases for landlords and tenants including land leases, office leases, shopping center and retail leases, leases for industrial facilities and leases for mixed-use projects.
W&G assists clients in analyzing franchise disclosure documents and advising clients on the respective obligations of the franchisor and franchisee. W&G has also negotiated franchise agreements on behalf of proposed and existing franchisees. Mr. Wertheim, former Chair of the Franchise Law Committee for the New Jersey State Bar Association, taught a franchise seminar at the Small Business Development Center at Brookdale Community College for 17 years.
W&G ensures that franchisors are in compliance with franchise laws, including the New Jersey Franchise Practices Act. The attorneys at W&G represent clients in complex litigation matters, including issues related to franchise termination and post-termination obligations and uniform enforcement of franchise contract requirements. Some of these matters include the seeking of equitable relief to enjoin the termination of a franchise.

Companies, who buy, sell or conduct business on commercial or industrial property, must deal with the environmental considerations inherent in such transactions. At W&G, the attorneys have the experience to shepherd clients successfully through a wide range of environmental matters, leveraging our extensive knowledge of the state and federal laws regulating environmental site assessment, remediation and cleanup, as well as the development of contaminated or environmentally sensitive properties.
In addition to representing companies with regard to their commercial and industrial property, we also work with clients, whose business activities directly impact the environment, including gasoline service stations, automotive dealerships, dry cleaners, composting and recycling facilities and transfer stations.
We assist in a variety of areas, including the acquisition of water and air pollution control permits, the management of solid and hazardous waste, compliance with worker and community right-to-know laws and Occupational Safety and Health Act (OSHA) matters.
We routinely represent clients who are selling, buying, leasing or financing real property, advising them on how to avoid or minimize liability under environmental laws. We also coordinate due diligence and environmental site assessments, and assist clients with the purchase of environmental liability insurance.
When necessary, we are adept at finding creative ways to close transactions involving contaminated properties.
Environmental cleanups must be performed according to the guidelines in certain state and federal laws, including the New Jersey Spill Act and the Industrial Site Recovery Act, the federal Superfund law and various underground storage tank laws. We assist clients in adhering to these regulations, and in helping them to recover, or avoid spending, significant remediation costs. We also investigate the availability of insurance funds, and pursue payment from insurance companies on our clients' behalf.
We assist our clients in the development of contaminated commercial, industrial and residential properties, obtaining funding, tax incentives and other benefits under the Brownfields Law and other federal and state programs.
We also help clients obtain permits to develop in or near environmentally sensitive areas, including freshwater and coastal wetlands, waterfront or coastal areas, streams, flood plains and areas subject to riparian claims by the state.
At W&G, the attorneys represent clients involved in disputes over cleanup of environmental contamination. With our command of the regulatory process and other issues, we are able to resolve many cases without the need for litigation. For those times where litigation cannot be avoided, we have considerable experience applying effective strategies to prosecute and defend against environmental claims, including defending clients against penalties assessed by governmental agencies.
W&G has experience in mediating, arbitrating and litigating matters involving former employees who are alleged to have violated restrictive covenants, misused confidential information and trade secrets, as well as matters involving employee dishonesty and disloyalty, and contract disputes.
